Agency, freelancer, or a small studio
In April 2018 a Hacker News commenter wrote that a friend’s first startup spent $80,000 with a local firm that outsourced the work and took a cut. Five months later the friend had no app, no money, and a lawsuit. A reply on the same thread describes a second handoff: the hired partner could not build the back end, subcontracted it, and the project collapsed. That is one forum post, not a judgment. Three failures, and they do not map neatly onto the three labels
- One person away. A freelancer’s bus factor is 1: if they disappear, the project stalls. A 2016 study of 133 popular GitHub systems found a truck factor of 2 or less on 65% of them. Popular code has the same risk. A brochure does not need a bench. A product you cannot deploy without one person does.
- Senior sold, junior delivered. Lonnie McRorey, writing in Forbes in 2020, says a vendor refused detailed resumes, then replaced the senior tech lead with a junior. The code did not pass testing. Staff spent their time coaching the outsourced team. That is his account, from someone who later led an engineering-services firm.
- Paid code you cannot run. An Avvo poster in 2018 said they paid over $28,000 on Upwork for a site that was never operational and had to be rebuilt. Unverified, and the lawyers answering it said liability depends on the contracts. The lesson that survives is practical: a demo is not a deploy.
Ask who holds the repo on day one
Upwork’s own help page says project intellectual property is yours after full payment, unless you agreed otherwise. That is not the same as a GitHub organisation in your name, with you as an owner, before the last invoice. A zip file at the end is how you discover the pipeline was a black box.
